2. AGREEMENT CONCLUSION (HOW TO ORDER)
2.1 The presentation of Products on the Website constitutes an invitation for Customers to submit a purchase proposal to Skypoint. These invitations to make an offer are not binding for Skypoint and, in particular, do not constitute public offers pursuant to Article 1336 of the Italian Civil Code. Skypoint retains full discretion in deciding whether or not to accept any proposals submitted. Before placing any Order, the Customer is strongly encouraged to carefully read the General Terms and Conditions.

In any case, the Customer must provide Skypoint with all the necessary data, in accordance with applicable data protection regulations, to allow Skypoint to process the submitted Orders.
2.2.2 After registering and/or logging in through the “Customer Login” section available via the “Sign In” link at the top right of the homepage (Figure 1.1), the Customer can select one or more Products they wish to purchase from Skypoint’s online catalog by clicking the “Add to Cart” button (Figures 2.3 and 2.4). This button is visible in all product viewing modes, including product listings, preview windows, and detailed product pages.

Figure 2.4 - Listing of multiple products

2.2.3 The selected item is recorded in a dedicated list of products the Customer intends to order (the “Cart”); the Customer can adjust quantities or remove products before submitting the Order.
2.2.4 In the first step of the order process, called “Cart,” the Customer confirms the list of selected items by clicking the “Proceed to Checkout” button located at the bottom right of the page.
Alternatively, the quantity of each item can be adjusted using the “^” or “˅” buttons, or by manually entering the desired number in the “Qty” column. (Figure 2.5)
Each individual item can be removed from the summary table by clicking the X symbol next to the row of the item to be deleted.
If the Customer wishes to add more items that are not yet in the summary table, they can do so by continuing to browse the catalog and clicking the “Continue Shopping” button located at the bottom left.
Figure 2.5 - Shopping Cart

2.2.5 After providing the required information, the Customer selects the delivery method for the goods and the preferred payment option.
2.2.6 During the order process and until the order is actually submitted, the Customer will have the opportunity to review the entered information and correct any errors.
2.2.7 The Customer can view a summary table of the Order before submitting it. If they wish to make changes, they can edit the entered data or update their previous selections. During the Checkout phase, the Customer will use the “Complete Order” button to finalize and send the order to Skypoint.
If the selected payment method involves an online transaction, the Customer will be redirected to the secure web page of the payment provider, where they can complete the purchase by entering the required transaction details. The order is not considered complete until this step is successfully finalized and the transaction is executed. By clicking on one of the payment method buttons, the Customer agrees to pay the amount shown in the cart and therefore accepts the payment obligation.
2.2.8 Every Order submitted in this way shall be considered, for all intents and purposes, a contractual proposal made by the Customer. Once the Order is submitted, Skypoint will send an automatic email confirming that the Order has been received. This automatic email does not constitute acceptance of the Order by Skypoint.
2.2.9 Skypoint will then review the Order received from the Customer via an online platform and will update the Order status as it is processed. The Customer can check the progress of their Order at any time by accessing the “My Orders” section in their personal account area.
2.2.10 The purchase contract between the Customer and Skypoint is finalized when the Order is accepted by Skypoint. This acceptance is confirmed by updating the Order status to one of the following: “Awaiting Payment,” “Processing,” “Awaiting Restock,” or “Shipped.” These statuses may vary depending on the payment and/or delivery methods chosen by the Customer, who can view them as explained in the previous section. Skypoint reserves the right to accept or decline any Orders received, and in the event of non-acceptance, the Customer shall not be entitled to claim any rights or compensation from Skypoint, except for the reimbursement of any amount already paid. If payment has already been made, Skypoint will refund the amount paid by the Customer, including order processing and shipping fees, within thirty days from the day following the submission of the Order. The refund amount will be communicated via email and credited using the same payment method used for the purchase, or via bank transfer. For more details, please refer to the General Terms and Conditions.
Skypoint disclaims all responsibility for any delays in the refund process that may be due to the bank or the type of credit card used for the payment.
2.2.11 If a product is not immediately available for delivery, the Customer still has the option to order it and proceed with payment using one of the methods previously indicated. Afterwards, the Customer may request an email from Skypoint containing an estimated delivery time for the product. This estimate includes both the time Skypoint requires to source the product and the time needed to deliver it to the Customer. The estimated delivery time provided is non-binding and does not constitute a formal commitment on the part of Skypoint.
Upon receiving this communication, the Customer may choose to confirm the order (thereby accepting the delivery terms) or refuse it.
In the event of refusal, Skypoint will refund any amount already paid by the Customer, including processing and shipping costs, within thirty days from the day following the submission of the Order [see General Terms and Conditions]. The refund amount will be communicated via email and credited using the same payment method used for the purchase, or via bank transfer. Skypoint disclaims all responsibility for any delays in the refund process caused by the bank or the type of credit card used.
Alternatively, the Customer may choose to use the amount already paid to purchase another product of equal value, including VAT and shipping costs. The Customer may also decide to apply the paid amount toward the purchase of a product of greater value. Any additional balance due, resulting from a higher product price or from related services (such as shipping, insurance, etc.), will be arranged directly with Skypoint Srl by phone or email.
In case of modifications to the order, agreed upon via phone or email, an updated Order Confirmation will be sent to the Customer. The Customer must then send an email with the signed Order Confirmation, after reviewing its details and reading the General Terms and Conditions of Sale (GTCS).
Sending this email with the signed confirmation shall constitute acceptance of the GTCS, and the Customer agrees to pay the total amount indicated, thereby accepting the payment obligation.
By accepting and confirming the Order, the Customer acknowledges that the product(s) ordered is/are not available in Skypoint Srl’s warehouse and that such product(s) will be specially ordered for the Customer. As a result, these products are excluded from the Right of Withdrawal (see Chapter 8 of the General Terms and Conditions).
2.2.12 If the Products ordered are found to be unavailable in stock after the Customer has submitted the Order, Skypoint Srl will notify the Customer via the email address provided during registration. In this case, the Customer may choose to:
- Check the expected availability times of the ordered Products and confirm the purchase. In this case, the rules outlined in section 2.2.11 apply.
- Cancel the contract, by notifying the Company within the following 48 working hours. Skypoint will refund the amount paid by the Customer, including order processing and shipping costs, within thirty days from the day following the submission of the Order. The refund amount will be communicated via email and credited using the same payment method used for the purchase or via bank transfer. Skypoint disclaims all responsibility for any delays in the refund process caused by the bank or the type of credit card used.
2.2.13 Skypoint fulfills the contract by delivering the goods to the Carrier.
2.2.14 For every Order placed on the Website, Skypoint issues either an invoice or another appropriate fiscal document for the shipped goods. If the invoice is not explicitly requested during the purchase process, a “Delivery Note” will be sent instead. The invoice or delivery note will be included in one of the shipment packages and will contain the information provided by the Customer during the purchase process. No changes can be made once the document has been issued.
2.3 - ORDER CANCELLATION
2.3.1 CANCELLATION OF AN ORDER NOT YET SHIPPED
The Customer may cancel the Order by simply sending an email to the specified address [email protected], provided that the Order has not yet been shipped.
If the Order concerns products that were specially ordered for the Customer due to unavailability in stock at the time of purchase, or products that have been customized at the Customer’s request, Skypoint Srl reserves full discretion to accept or decline the cancellation.
2.3.2 CANCELLATION OF A SHIPPED ORDER
If the cancellation occurs after the goods have already been shipped, the Customer may exercise the right of withdrawal after receiving the goods, according to the procedures outlined in Chapter 8 of the General Terms and Conditions. The Customer is required to accept the delivery once the goods have been shipped to the address provided during the order process. Afterwards, the Customer will be refunded the amount paid, including the shipping costs. Any additional charges remain the responsibility of the Customer (such as cash-on-delivery fees, insurance fees, and return shipping costs).
If the Customer refuses to accept delivery of the goods in order to avoid a formal return process, they will still be required to reimburse Skypoint for the shipping and insurance costs already incurred, as well as any cash-on-delivery charges that may have been applied, and the costs of return shipping and insurance incurred by the Carrier.
2.4 - GIFT VOUCHERS: TERMS AND CONDITIONS OF PURCHASE AND USE
2.4.1 A Gift Voucher is a store credit that allows the designated Beneficiary to pay for their purchases either in full (up to the available balance) or as partial payment when the total exceeds the voucher value. The use of the Gift Voucher is restricted to the Beneficiary expressly named by the Customer who purchases it.
2.4.2 Gift Vouchers can be used for purchases at the Skypoint store in Campoformido or on the Skypoint website. They are valid for 12 months from the date of issue.
2.4.3 Gift Vouchers are non-divisible; therefore, if only partially used, no cash refund will be granted to either the Customer or the Beneficiary. Any remaining balance will be forfeited.
2.4.4 Skypoint is not obligated to provide any refund to the Customer and/or the Beneficiary for expired and unused Gift Vouchers.
2.4.5 Gift Vouchers cannot be purchased using other Gift Vouchers.
2.4.6 Skypoint is not responsible for any loss, theft, or unauthorized and/or fraudulent use of the Gift Voucher.
2.4.7 In accordance with Italian Legislative Decree 185/1999, Article 5, paragraph 3, the right of withdrawal does not apply to the purchase of Gift Vouchers. Only the Beneficiary may exercise their right of withdrawal for merchandise purchased using the voucher, following the standard procedures outlined on the Website.
2.4.8 By purchasing a Gift Voucher, the Customer authorizes Skypoint to process the personal data of both themselves and the Beneficiary.
2.4.9 If the Gift Voucher is used to purchase products available for immediate delivery on the Website or in-store, the value of the Gift Voucher will be deducted from the total amount. The Beneficiary can then choose one of the available payment methods offered by Skypoint to cover any remaining balance.
2.4.10 If the Gift Voucher is used to purchase products not available for immediate delivery, it may be used, fully or partially, as a deposit toward the selected Order. If the Gift Voucher does not fully cover the required deposit, the Beneficiary may be asked to pay the difference. Should the Beneficiary cancel the Order, only the amount paid in addition to the voucher will be refunded. The value of the Gift Voucher will be made available again for future purchases until its expiration date.
If the Gift Voucher has expired at the time of cancellation, no refund will be issued to the Beneficiary or to the Customer who originally purchased the Gift Voucher.
2.5 - DISCOUNT CODES
2.5.1 Discount Codes are vouchers that cannot be purchased by Customers and are issued by Skypoint in various promotional contexts.
2.5.2 Discount Codes may have a limited validity period, depending on the specific promotion, which is indicated at the time the Code is issued. The value of a Discount Code may be expressed either as a percentage or as a monetary amount, at Skypoint's discretion, and will be clearly specified upon issuance. The validity of a Code may also be subject to a minimum purchase threshold, which will be indicated by Skypoint at the time of issue.
2.5.3 Discount Codes are non-divisible under any circumstances. They also cannot be combined with other Discount Codes or Gift Vouchers, unless otherwise explicitly stated by Skypoint.
2.5.4 Discount Codes cannot be exchanged for cash, even in cases where the purchase amount is lower than the code’s value.
2.5.5 Discount Codes may apply to specific products, product categories, product lines, or shipping costs, depending on the promotion and the conditions communicated by Skypoint at the time of issuance. If a Discount Code grants free shipping, any cash-on-delivery fees charged by the courier are not included and will still be charged to the Customer at the time of ordering. Additionally, Discount Codes do not cover extra fees related to the payment method chosen by the Customer to pay the remaining balance.
2.5.6 Discount Codes are non-transferable and intended for individual use only, unless otherwise stated by Skypoint.
2.5.7 Discount Codes can be used on the Skypoint Website and/or in-store, at Skypoint’s discretion.
2.5.8 A Discount Code can be entered during the online checkout process in the field labeled “Enter discount code.” To apply the code, the Customer must click the “Apply Discount” button (Figure 2.6).
Figure 2.6 - Enter discount code

The cart summary will then be automatically updated based on the value and validity of the entered Discount Code. Skypoint reserves the right to cancel and/or revise a Discount Code if it is accepted by the website outside its valid period or with an incorrect value due to a system miscalculation.
2.5.9 Skypoint reserves the right to verify all aspects of a Discount Code’s validity up until the moment of the transaction between the parties. Therefore, Discount Codes do not represent any binding obligation for Skypoint toward Customers. They are to be understood instead as invitations to purchase under more favorable conditions, provided that certain terms and rules are met at the time of purchase. Skypoint shall not be held responsible in any way for Discount Codes that become invalid due to force majeure or unforeseen circumstances.

The first installment is charged at the time of purchase, while the remaining payments are automatically charged on a monthly basis.

Notification will be sent via email.
3.3 Skypoint reserves the right to decline certain payment methods at its sole discretion.
